For consideration which I acknowledge, I hereby irrevocably grant to Filly-Kaden Enterprises (the “Company”) and anyone authorized by Company, permission throughout the world in perpetuity to copy, reproduce and use photograph(s), video(s) and/or other content supplied by me to the Company as set forth below (the “Content”) in any manner or medium for all purposes, including without limitation publicity, promotion, advertising, trade, business, illustration, artistic, publications, educational materials, news media, video, Internet materials or websites, or other purposes at the Company’s sole discretion. I represent and warrant that I have all rights necessary to grant such permission as set forth herein and that no infringement or violation of any third party rights will result from any such use of the Content. It is understood that the Company may edit or crop the Content at their sole discretion.

I hereby waive the right to inspect or approve the Company’s use of the Content. I hereby release and discharge Company and its respective agents, employees and assigns, and anyone acting under their authorization, from any claims that such use as authorized violates or infringes my rights, including without limitation any claims of infringement of moral rights, rights of publicity or copyright. This grant and release is irrevocable, so the Company may proceed in reliance thereon. I further acknowledge and agree that Company is in no way obligated to utilize the rights granted pursuant to this Agreement.

I agree that I will indemnify, defend and hold harmless the Company and its directors, officers, employees, agents, subsidiaries, affiliates and/or licensees, from and against any and all third-party claims or other actions arising out of or in connection with any breach of this Release or the representations or warranties contained herein.
